End-User License Agreement for the Model Company Internet Policy

IMPORTANT READ CAREFULLY

This Maine Association of REALTORS¨ End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and the Maine Association of REALTORS¨ for the MODEL COMPANY INTERNET POLICY and its supporting materials, which includes computer files, printed materials and may include associated media, and “online” or electronic documentation (“MODEL COMPANY INTERNET POLICY”). By downloading, copying, or otherwise using the MODEL COMPANY INTERNET POLICY and its supporting materials, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, edit or otherwise use the MODEL COMPANY INTERNET POLICY.

MODEL COMPANY INTERNET POLICY PRODUCT LICENSE

The MODEL COMPANY INTERNET POLICY and supporting materials are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The MODEL COMPANY INTERNET POLICY is licensed, not sold, to you, the End User.

Neither the Maine Association of REALTORS¨ nor the author hired to create this model document, Matthew Ferrara Seminars, hold itself out as legal counsel; The Model Company Internet Policy is a “template” only; all contents, supporting materials and references are intended for use as the basis for creating a derivative work by you, the end user.

The Model Company Internet Policy document is not intended to be used “as is” in part or whole.

The contents of the Model Company Internet Policy and its supporting materials require substantial company-, state- and federal-specific information to be edited, inserted or added by the end user and may require advice of legal experts to ensure that the derivative works are in compliance with applicable state and federal real estate laws or similarly applicable regulations.

GRANT OF LICENSE.
This EULA grants you the right to (a) use, modify, and create derivative works of the MODEL COMPANY INTERNET POLICY in text format, and (b) reproduce and distribute copies of the derivative works thereof to the REALTOR¨ members of your company who are also current members of the Maine Association of REALTORS¨.

The end user (you) agrees that this document and supporting materials or any derived works cannot be sold, transferred, assigned, rented, leased, sublicensed, reproduced, time-shared or otherwise provided, free or at a cost, to any other party without express written permission of the Maine Association of REALTORS¨ or as specifically provided in this Agreement.

TERMINATION.
Without prejudice to any other rights, the Maine Association of REALTORS¨ may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the MODEL COMPANY INTERNET POLICY.

NO WARRANTIES
The Maine Association of REALTORS¨ expressly disclaims any warranty for the MODEL COMPANY INTERNET POLICY. The MODEL COMPANY INTERNET POLICY and any related documentation is provided “as is” without warranty of any kind, either express or implied, including, without limitation, the implied warranties or merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the MODEL COMPANY INTERNET POLICY remains with you.

NO LIABILITY FOR DAMAGES.
In no event shall the Maine Association of REALTORS¨, or its suppliers, or the original authors of the document, be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this product, even if the Maine Association of REALTORS¨ has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.
